Prospectus

3i Infrastructure raised £703 million in its Initial Public Offering in March 2007, and a further £115 million in a subsequent Placing and Open Offer in June 2008. In June 2016, 3i Infrastructure raised £385 million through an Open Offer, Placing and Intermediaries Offer. In October 2019, 3i Infrastructure raised £223 million through a non-pre-emptive Placing that did not require an updated prospectus.

There are no warrants in issue for 3i Infrastructure plc.

When 3i Infrastructure completed its Initial Public Offering (IPO) in March 2007, subscribers of shares in the IPO were issued one warrant for every 10 shares purchased, resulting in the issue of 70.8 million warrants in total.

Each warrant entitles the holder to subscribe for one ordinary share at £1.00 at any time from 13 September 2007 to 13 March 2012.

On 13 February 2012, 3i Infrastructure requested the Financial Services Authority to cancel its listing of the Warrants with effect from 8.00 am on Tuesday, 13 March 2012.

On the same date, 3i Infrastructure also published the following notice to holders of the Warrants reminding them of the expiry of the subscription rights attaching to the Warrants:
